FOR THE ACTIVATION AND USE OF EDITO® LICENSE MODULES

Art. 1 – Ownership of Intellectual Property Rights and Subject Matter

Jugaad S.r.l. is the sole owner and holder of the economic exploitation rights of this website and the proprietary web application named EDITO® (hereinafter also referred to as “the Application” or “the Software”), licensed in Software as a Service mode through this portal.

The purpose of these terms and conditions is to establish the obligations and responsibilities of the user and the Provider, as well as the limitations on the use of the application, in order to protect the rights and prerogatives of the Licensor and ensure proper use of the application’s specifications.

Art. 2 – Scope of Application and Subscription Requirements

These terms of use apply to the contractual relationship between Jugaad S.r.l. as service provider and the end user. Use of the subscription service is exclusively reserved for professionals or consumers who have reached the age of majority and therefore possess the legal capacity to enter into legally binding contracts under Italian law.

By subscribing to the service, the user declares and warrants that they are of legal age and possess full legal capacity to accept these Terms and Conditions. Activation and use of the service by minors or persons lacking legal capacity is expressly prohibited. The Provider reserves the right to request adequate documentation proving the user’s age and legal capacity at any time and to suspend or terminate the contract in case of violation of this provision.

These terms and conditions are an integral part of the application’s terms of use, which are expressly and fully incorporated herein by reference. In case of conflict between the provisions of these terms and conditions and the provisions of the EULA, the provisions of the EULA shall prevail.

Art. 3 – Account Creation and Management

To access and use the portal’s services, the User must create an account and complete the registration process. During registration, the User undertakes to provide truthful, accurate, and complete information, and to update it promptly in case of changes. The User is solely responsible for the truthfulness and accuracy of the information provided.

Art. 4 – Registration Process

Before subscribing to the subscription services offered by the Developer, the user is required to create an account by completing one of the following registration procedures:

  • Manual Registration: the user must enter their email address; after receiving and validating a one-time confirmation code (OTP), they can set a personal password for service access. In the absence of their own password, they will continue to access services using OTP or subsequent SSO.
  • Single Sign-On (SSO) Registration: the user may alternatively authenticate through an external provider (e.g., Google, Office365, LinkedIn, X). Access will be granted upon confirmation on the provider’s portal and authorization granted to the Developer’s authentication system.

Access to the service is subject to full acceptance of these Terms and Conditions as well as the License Terms of Use.

Art. 5 – Free Trial Period

The user has the option to activate a free trial period of 14 days before subscribing to a paid subscription. During the free trial period, the user will have access to 100 credits to use in AI-based services.

Art. 6 – Subscription to a Paid Service Plan

To continue using the application after the trial period or to access additional features, the user must select one of the available service tiers. Subscription to a paid plan is completed upon successful payment of the subscription fee.

Art. 7 – Activation of Paid Service

Activation of the service, and the consequent granting of the license, will occur only after the Licensor has received confirmation of successful payment of the consideration due for the selected service plan. Following such confirmation, the account with which the Licensee previously registered on the platform will obtain access permissions to the paid features of the Platform. The User acknowledges that licensed access is subject to receipt of payment.

Art. 8 – License Modules Subject to Subscription

The application is granted for use to the Licensee based on the following license profiles:

  • EDITO TRIAL: free trial period lasting 14 (fourteen) days from the registration date, with access to 100 credits to be used in advanced services. At the end of the Trial period, access to features subject to credit consumption is disabled, unless one of the subscription plans is activated.
  • EDITO STARTER: monthly or annual subscription plan that includes unlimited access to the platform’s basic services (including: PDF viewing, standard OCR, document merging and splitting, page rotation, compression, watermarking, and other document utilities) as well as 200 monthly credits to be used in advanced services. Monthly credits renew at the beginning of each billing period and are not cumulative with those from the previous month.
  • EDITO GROWTH: monthly or annual subscription plan that includes unlimited access to the platform’s basic services as well as 450 monthly credits to be used in advanced services. Monthly credits renew at the beginning of each billing period and are not cumulative with those from the previous month.
  • CREDIT SYSTEM FOR ADVANCED SERVICES: EDITO® advanced services are provided on a consumption basis through a unified credit system. Each advanced service consumes a predefined number of credits per page processed, according to the following table:

  • ADDITIONAL CREDIT PACKAGES: the Licensee may purchase additional credit packages in the configurations made available by the Licensor on the portal. Credits purchased through additional packages are not subject to monthly expiration and remain available until exhausted, provided that the Licensee maintains an active subscription plan (Edito Starter or Edito Growth). In case of non-renewal, cancellation, or termination of the contract, residual credits from additional packages will be permanently disabled, without right to refund.
  • EDITO AUTOMATICA: advanced functions for creating document processing workflows capable of applying the other functions present in the EDITO suite. The economic conditions, usage limits, and activation methods of Edito Automatica are defined by the Licensor and communicated to the Licensee upon subscription to the module.

In the preliminary phase, EDITO® will be released for selected users in private beta mode. The Provider undertakes not to use data uploaded by the user for training or fine-tuning its AI and GenAI models.

Art. 9 – Payment and Billing

The user can make payment via: credit cards, debit cards, PayPal, and, upon request and for private negotiation, by bank transfer. Once payment confirmation is received, the Provider will send an invoice to the email address provided at registration. Invoices are issued at the time of subscription and in any case within the legally required timeframe.

Art. 10 – Duration of Subscription Service

The usage rights provided by these conditions are granted for the duration (monthly or annual) specifically indicated by the Licensor and accepted by the Licensee. The license commencement varies by profile:

  • Edito Starter, Edito Growth, Edito Automatica Plans: from the date of credential activation concurrent with payment.
  • Edito Trial Module: from the date of registration and credential confirmation by the user. At the end of the trial period and in the absence of activation of a paid plan, features subject to credit consumption will be automatically deactivated.
  • Additional Credit Packages: credits purchased through additional packages are not subject to monthly expiration and remain available to the User until exhausted. Use of additional credits is subject to maintaining an active subscription plan (Edito Starter or Edito Growth). In case of non-renewal, cancellation, or termination of the contract, residual additional credits will be permanently disabled starting at midnight on the day following subscription expiration, without right to refund.

Art. 11 – Automatic Renewal

At the end of the validity period, the license will automatically renew for an equal period, unless canceled by the Customer. Automatic renewal ensures continuity of access to subscribed features. The Provider will send an email notification at least 7 days before expiration with a link to exercise withdrawal.

In case of non-renewal, the features of paid plans (Edito Starter, Edito Growth, Edito Automatica) will cease to be operational on the expiration date. Monthly credits included in the license profile are reset upon expiration of the subscription period and do not entitle the user to any refund or compensation. Additional credit packages will be reset starting at midnight on the day following expiration, without right to refund.

Non-renewal does not result in automatic account deactivation. The account will remain active until manual deletion by the Customer or upon their explicit request to the Provider. Account deletion results in irreversible deletion of all documents and data saved on the Provider’s infrastructure.

Art. 12 – Account Deactivation at Provider’s Initiative

The Provider reserves the right to terminate the relationship with immediate effect and deactivate the account without notice and without obligation of compensation in the following cases:

  • Violation of Contractual Conditions or any provision contained in these Terms and Conditions.
  • Violation of the license terms of use referred to in Articles 4, 8, 10, 11, 16, 17, 18, 19, 20, 21, and 22 of the EULA.
  • Use of the Application in violation of mandatory provisions, third-party rights or trade and/or industrial secrets, administrative measures.
  • Use of the platform to upload, modify, or process illegally held documentation, to apply OCR to stolen projects, or for any other unlawful or fraudulent activity.
  • Any other use deemed, at the Provider’s sole discretion, improper, abusive, or harmful to the service, to the Provider itself, and/or to third parties.

In such cases, the User will not be entitled to any refund for the unused period. The user hereby waives any action or initiative aimed at contesting the measures taken by the Provider pursuant to this provision.

Art. 13 – Temporary Account Suspension at Provider’s Initiative

The Provider reserves the right to temporarily suspend the User’s access without notice if any of the following circumstances occur:

  • Failure to accept updates and modifications to these terms and conditions.
  • Failure to accept updates and modifications to the license terms of use.
  • Exceeding the number of allowed authentication attempts within the portal.

Art. 15 – Helpdesk and Technical Support Service

Technical support service is provided on a best effort basis, without SLA or guarantees on response times.

Art. 16 – Updates, Customizations, and Change Requests

Feature updates are included in the subscription fee and do not incur additional costs. Any requests for specific customizations or implementation of new features not provided (hereinafter “Change Requests”) are not included in the subscription fee. The Provider reserves the right to assess technical feasibility and may, at its sole discretion, provide a detailed quote. Acceptance of the quote by the Customer will constitute a separate agreement supplementing this contract.

Art. 17 – Free Trial Period and Limitations

The Provider grants the Customer a free trial period (“Trial”) lasting 14 days from the activation date. During this period, the Customer will have access to all features of the EDITO Service, including advanced features with a limit of 100 credits. Some features may be subject to specific quantitative limitations; details are specified in the technical documentation available on the Provider’s website.

At the end of the trial period and in the absence of activation of the paid module, advanced features will be automatically deactivated and all uploaded content will be permanently removed according to the retention times described in the EULA.

Art. 18 – Permitted Use of Service and Prohibition of Automation

Use of the Service is permitted exclusively for direct interaction with a human operator. Use through robotic, algorithmic, or artificial intelligence agent-based automation processes (RPA – Robotic Process Automation, or AI Agent) is strictly prohibited, with the exception of the use of Edito Automatica which provides for automatic and batch document manipulation processes. Violation will result in immediate and permanent account deactivation with termination of the contract by operation of law, without prejudice to the Provider’s rights to compensation for any damages.

Art. 19 – Network Bandwidth

The Provider does not impose limits on the bandwidth used by the Customer for upload and download during use of the Service.

Art. 20 – Maximum File Size

The maximum size of each individual file that can be uploaded to the Service infrastructure is set at 200 MB. Attempting to upload files larger than this may generate errors, slowdowns, or inability to generate output.

Art. 21 – Upgrade, Downgrade, and License Module Management

The Customer has the option to upgrade to a plan with higher limits at any time. The cost of the upgrade will be calculated in percentage terms taking into account the period already used and the remaining period. The expiration date of the period will not be modified from the current one. The maximum credit allowance will be increased as a result of the upgrade, minus credits already consumed. Downgrade is permitted only at the end of the current validity period.

Art. 22 – Output File Retention

Retention periods vary depending on the subscribed module:

  • Trial: 15 days from account creation
  • Edito Functions (Starter/Growth): 30 days from output file creation
  • Omissis: 7 days after application of the anonymization process
  • Probo: 30 days from output file creation

The user can disable storage and save files on their own infrastructure. Not subject to retention: watermark templates, signature/stamp images, Automatica workflow configurations.

Art. 23 – Service Characteristics and Limitations

The Service is provided “as is” without guarantees on OCR recognition quality. The quality and accuracy of recognition are directly correlated to the quality of the uploaded file content. The Licensor’s liability cannot exceed the amount of the subscribed license fee.

Art. 24 – Withdrawal Before Expiration of Subscribed Service

In case of early withdrawal, the Customer will not be entitled to any refund, not even partial, of the consideration already paid. The Service will remain accessible until the natural expiration of the paid period.

Art. 25 – Service Interruptions

The Provider reserves the right to suspend service delivery for a maximum indicative period of one business day per subscription period for infrastructure maintenance and update activities. The Provider will endeavor to communicate such suspensions with adequate notice through official channels. The Customer acknowledges that such interruptions are an integral part of the service and it is the Customer’s sole responsibility to verify their compatibility with their own business continuity plans (BCP/DRP). The Customer releases the Provider from any liability arising from such suspensions.

Art. 26 – Unilateral Contract Modification

The Provider reserves the right to make unilateral changes to these TC with notification via email or notice on the website. The Customer has 7 days to withdraw; in the absence of withdrawal, the changes are deemed accepted. Withdrawal does not entitle the user to refunds. The Customer releases the Provider from any liability arising from the application of unilateral changes.

Art. 27 – Right of Withdrawal – Exclusion

The user qualifying as a consumer, by activating the paid license module, waives the right of withdrawal pursuant to Article 59, letter o) Legislative Decree. 206/2005.

Art. 28 – Copy of Documentation

The user can download a copy of the accepted conditions and log of the date and time of approval in the reserved area of their account. For each accepted document, the user’s identity and acceptance date must be tracked. If different versions of contractual documents (TC, EULA, Privacy Policy) are issued over time, each accepted version must be made available in the reserved area.

Art. 29 – Usage Monitoring and Technical Controls

The Provider reserves the right to monitor Customer activity through technical controls integrated into the Service code (server-side and browser) to prevent the use of automation, bots, or other unauthorized systems. Processing of collected data is managed in accordance with the Provider’s Privacy Policy. It is prohibited to remove, disable, or circumvent such controls; violation will result in immediate and permanent account deactivation.

Art. 30 – Applicable Law and Jurisdiction

This contract is governed exclusively by Italian law and is subject exclusively to Italian jurisdiction.

Art. 31 – Assisted Negotiation

All disputes, including those of a non-contractual nature, arising from this contract, relating to or connected with it, shall be resolved through the assisted negotiation procedure pursuant to Legislative Decree no. 132/14, converted into Law no. 162/14. The Parties undertake to maintain a collaborative conduct in order to ensure the timely conclusion of the negotiation agreement.


By proceeding with access to the service, I accept this agreement.

The user declares that they have read, understood, and specifically accept the provisions of Articles: 11 (Automatic Renewal), 12 (Account Deactivation), 13 (Temporary Suspension), 24 (Early Withdrawal), 25 (Service Interruptions), 26 (Unilateral Modification), 27 (Right of Withdrawal – Exclusion), 29 (Monitoring), 30 (Applicable Law), 31 (Assisted Negotiation).
