The natural person using the application (“the Licensee” or “User” or “Customer”)


Art. 1 – Ownership of Intellectual Property Rights and Subject Matter

Jugaad S.r.l. is the sole developer of the proprietary web application named EDITO® and as such holds exclusive ownership of all moral rights as well as economic exploitation rights of the application.

The purpose of these terms of use is to establish the obligations and responsibilities of the Licensor and the Licensee, as well as the limitations on the use of the application, in order to protect the rights and prerogatives of the Licensor and ensure correct use of the application’s specifications.

Art. 2 – Rights of the Licensee

Upon acceptance of these terms, the Licensor grants the user a non-exclusive, non-transferable, and temporary right to access and use the specific EDITO® module subscribed to in remote mode. Use of the service is permitted exclusively in SaaS (Software as a Service) mode, for the duration specified in the specifically accepted Terms & Conditions.

Art. 3 – Express and Implied Acceptance

Upon express or implied acceptance of these license terms, the Licensor grants the Licensee a non-exclusive, non-transferable, and temporary right to access and use the EDITO® license module that is the subject of the specific subscription.

These terms constitute a legally binding agreement between the Licensee and the Licensor. Use of the application is subject to acceptance, without reservation, of all the terms and conditions set forth herein. Users who do not wish to accept must leave the page and immediately cease use.

Art. 4 – Access

The Licensor authorizes the use of any EDITO® module exclusively following user authentication and authorization on the official portal accessible at: edito-pdf.com.

Access is permitted only to users who have subscribed to the service and paid the fee. Any access through a different or fraudulent portal constitutes unauthorized access, which may also be prosecuted pursuant to Article 615-ter of the Italian Criminal Code.

The Licensor reserves the discretionary right to deactivate access profiles without notice in the event of violation of these terms.

Art. 5 – License Modules

The application is licensed for use according to the following modules:

  • EDITO TRIAL: 14 days, full access with 100 credits for advanced services.
  • EDITO STARTER: monthly or annual subscription plan that includes the platform’s basic services as well as 200 monthly credits for advanced services.
  • EDITO GROWTH: monthly or annual subscription plan that includes the platform’s basic services as well as 450 monthly credits for advanced services.
  • OMISSIS FULL: massive and automatic anonymization of documents (PDF, images, email, Office). Limits determined by the pricing plan.
  • PROBO: analysis of URLs or PDF documents to evaluate usage licenses for images, fonts, and multimedia resources. Limits determined by the pricing plan.
  • EDITO AUTOMATICA: advanced document processing workflows. Limits determined by the pricing plan.

During the private beta phase, the platform may have defects or missing features. The provider undertakes not to use uploaded data for training or fine-tuning AI and GenAI models.

Art. 6 – Duration

The rights provided are granted for the duration (monthly or annual) specified by the Licensor. The effective date varies by module:

  • Starter, Growth, Automatica plans: from the date of credential activation concurrent with payment.
  • Trial: from the date of registration and credential confirmation.

Art. 7 – Service Activation

Activation occurs following the sending of credentials upon completion of the registration procedure in the reserved area. The User is solely responsible for the custody and confidentiality of such credentials.

Art. 8 – Account Security and Obligations of the Licensee

The Licensee is solely responsible for the security of their credentials. In particular, the Licensee undertakes to:

  • Not transfer, share, or disclose credentials to third parties under any circumstances.
  • Not store credentials in plain text in locations accessible to unauthorized persons.
  • Create complex passwords (uppercase, lowercase, numbers, special characters).
  • Immediately notify the Licensor in case of suspected theft or unauthorized use of credentials.
  • Monitor account activities and report any anomalies.

The Licensor cannot be held liable for damages arising from the User’s negligence in observing these security provisions.

Art. 9 – Automatic Renewal, Cancellation, and Data Management

The license automatically renews for an equal period, unless canceled. The Licensor will send notification via email at least 7 days before expiration with a link to the cancellation procedure. In the event of non-renewal, data will be retained for 15 days and then permanently deleted, subject to the right to data portability.

Art. 10 – Regulatory Compliance and User Responsibility

The Application is provided “as is.” The Licensee is obligated to verify the suitability and compliance of EDITO® with the regulatory requirements of the sector and the State of use. The Licensor provides no warranty of compliance with national or supranational regulations.

Art. 11 – Authorized Users

The application may not be used by persons under 18 years of age. Violation of this prohibition entitles the Licensor to terminate the contract and discontinue service provision without notice.

Art. 12 – Explanatory Documentation and Support

The technical documentation of the Application is made available to the Licensee in the dedicated section of the documentation and support area.

Art. 13 – Technical Requirements

The Application is accessible exclusively via web browser on desktop devices (Windows, MacOS, Linux). A mobile version is not supported. Compatible browsers: Google Chrome, Microsoft Edge, Mozilla Firefox, Apple Safari (latest stable versions).

A broadband connection of at least 30 Mbps download and 10 Mbps upload is recommended.

Art. 14 – Intellectual Property

The Licensor is the exclusive owner of EDITO® and all economic exploitation rights, including:

  • Design and graphic layout of the user interface (UI/UX).
  • Textual content, images, audio, or video created for the application.
  • Trademarks, logos, and distinctive signs of EDITO® and the Licensor.
  • Algorithms, mathematical models, and trade secrets.
  • Database structure, collected data, and organizational methodologies.

Any activity other than use in accordance with the functional specifications of EDITO® is prohibited, including: sale, transfer, reproduction, copying, or distribution in any form.

Art. 15 – Prohibited Uses

The Licensee is prohibited from:

  • Decompiling the application, including through reverse engineering.
  • Granting use to third parties or sublicensing the software.
  • Reproducing the software for commercial purposes.
  • Renting the service offered by EDITO®.

Violation of these prohibitions entitles the Licensor to terminate the contract by deactivating the license with immediate effect.

Art. 16 – Trademarks and Distinctive Signs

The Licensee acknowledges that the Licensor is the exclusive owner of the trademarks and all distinctive signs of EDITO®. The Licensee undertakes not to use the Licensor’s distinctive signs or to register trademarks likely to cause confusion. The user undertakes to promptly inform the Licensor of any known or suspected violation of industrial and intellectual property rights.

Art. 17 – Prohibitions Related to the Licensor’s Distinctive Signs

The end user is expressly prohibited from:

  • Removing, omitting, or concealing the distinctive signs affixed to the interfaces and documentation.
  • Registering, directly or indirectly, the Licensor’s distinctive signs.
  • Registering trademarks likely to cause confusion with EDITO®.
  • Registering domain names containing expressions similar to the Licensor’s distinctive signs.

Art. 18 – Intellectual Property and Lawful Use of Input Documents

The User declares and warrants that they hold all rights, authorizations, and licenses necessary to upload documents to EDITO® and to perform modification operations on them. The User undertakes to verify that the operation does not violate laws, third-party rights, or contractual obligations, and to hold the Licensor harmless from any claims arising from a violation of such obligations.

Art. 19 – Personal Data Protection

As a result of the data processing activities arising from this contract:

  • The Developer assumes the role of Data Controller in relation to the activities of releasing updates and new versions.
  • The Developer assumes the role of Data Processor in relation to assistance, support, and maintenance activities.

Art. 20 – Updates

Software updates are released by the Developer and are included in the periodic subscription fee.

Art. 21 – Assistance and Support

Assistance and support services are provided by the Licensor. To obtain support, contact the details provided on the official portal.

Art. 22 – End User Obligations

The end user undertakes to:

  • Not transmit, disclose, or distribute through the software information contrary to public morality, obscene, defamatory, illegal, offensive, or that violates the rights of third parties.
  • Communicate any changes to their identifying information to the Licensor.

Art. 23 – Express Termination Clause

Violations of the obligations set forth in Articles 8, 10, 11, 15, 16, 17, 18, 19, 20, 21, and 22 constitute grounds for immediate termination of the contract. Notice will be transmitted via certified email or registered mail with return receipt and will take effect from the day of receipt. As a result of termination, access to subscribed modules will be blocked and the user waives the right to request a refund of amounts paid.

Art. 24 – Limitations of Liability

The Licensor cannot be held liable for damages arising from: use of devices with cracked operating systems; use of EDITO® for unlawful processing of personal data; use to commit offenses of any nature; violation of the provisions of this agreement. The Licensor’s liability cannot exceed the amount of the subscribed license fee.

Art. 25 – Usage Monitoring and Technical Controls

The Licensor reserves the right to monitor the Customer’s activity through technical controls integrated into the Service code (server-side and browser) to prevent the use of automation, bots, or unauthorized systems. It is strictly prohibited to remove, disable, or circumvent such controls; violation will result in immediate and permanent account deactivation.

Art. 26 – Unilateral Contract Modification

The Licensor reserves the right to make unilateral changes to these terms. Changes will be communicated via email or through a notice on the website. The Customer has 7 days to withdraw; in the absence of withdrawal, the changes are deemed accepted. Withdrawal does not entitle the Customer to refunds.

Art. 27 – Communications to End Users

The Licensor has the right to send communications regarding: bug fixes, release of updates, introduction of new features, unilateral modifications. Communications are sent to the contact details provided at subscription.

Art. 28 – Copy of Documentation

The user may download a copy of the accepted terms and a log of the date and time of approval in the reserved area of their account. For each accepted document, a record must be kept of the user’s identity and the date of acceptance. If different versions of the contractual documents (T&C, EULA, Privacy Policy) are issued over time, each accepted version must be made available in the reserved area.

Art. 29 – Applicable Law and Jurisdiction

This contract is governed exclusively by Italian law and is subject exclusively to Italian jurisdiction.

Art. 30 – Assisted Negotiation

All disputes, including those of a non-contractual nature, arising from this contract shall be resolved through the assisted negotiation procedure pursuant to Legislative Decree No. 132/14, converted into Law No. 162/14. The Parties undertake to maintain a collaborative approach in order to ensure the timely conclusion of the negotiation agreement.


By proceeding with access to the service, I accept this agreement.

The Licensee declares that they have carefully reviewed and fully accept, with particular attention, the provisions of the following articles: 4 (Access), 9 (Automatic renewal, cancellation, and data management), 10 (Regulatory Compliance), 23 (Express termination clause), 24 (Limitations of liability), 25 (Monitoring), 26 (Unilateral Modification), 27 (Communications to end users), 29 (Applicable Law and Jurisdiction), 30 (Assisted Negotiation).
